Invico Terms of Service
Effective: 21 September 2026
English convenience translation — the Czech original (Obchodní podmínky
služby Invico) prevails in case of any discrepancy.
1. Introductory provisions
1.1. These terms of service (the "terms") govern the relationship between the operator of the Invico service and the user when using the Invico software service available at invico.org and related domains (the "service").
1.2. Service operator:
Tomáš Dvořák
registered office Kostelany nad Moravou 108, 686 01, Czech Republic
Registration No. (IČO): 24330621
registered in the Trade Licensing Register (sole trader), not a VAT payer
e-mail: [email protected]
(the "operator")
1.3. The service is intended for business purposes. The user is a sole trader or legal person who creates a user account (the "user"). We do not prevent registration by consumers; if a user concludes the contract as a consumer within the meaning of § 419 of the Czech Civil Code, all rights under consumer-protection provisions apply to them in full. Any stipulation of these terms deviating from the law to the consumer's detriment shall not apply to the consumer (§ 1812(2) Civil Code). Provisions expressly marked as consumer provisions do not apply to businesses.
1.4. The service contract between the operator and the user arises upon completion of user-account registration. By registering, the user confirms they have read and agree with the terms.
2. Subject of the service
2.1. The service enables in particular:
- creating, recording and sending tax documents and related documents (invoices, pro-forma invoices, credit notes, delivery notes, orders, price quotes, received documents),
- recording contacts, expenses, stock items and projects,
- sharing documents via a public link including status tracking,
- exports for tax portals (XML for Czech MOJE daně / EPO),
- receiving and processing documents sent by e-mail or via API,
- connections to banking channels for payment matching,
- a programmatic interface (API, webhooks, MCP) for integrations.
2.2. **The service is an invoicing and record-keeping tool, not accounting software nor tax or legal advice.** The user is solely responsible for the correctness, completeness and legal elements of issued documents, for keeping mandatory records and for fulfilling tax obligations. The operator is not liable for the content of documents created by the user nor for decisions made on their basis.
2.3. The service is provided in its current state ("as is"). The operator may continuously develop, change, extend or limit its functions; for changes materially reducing functionality the user will be informed reasonably in advance.
3. Registration and user account
3.1. Registration requires a valid e-mail address and consent to the terms and the privacy policy. The user must provide truthful data and keep it current.
3.2. The user protects login credentials, API keys (PAT) and e-mail-server credentials (SMTP) against misuse. The user is liable for all activity carried out under their account or keys unless they prove it resulted from the operator's breach of duty.
3.3. A user may manage multiple companies (entities) under one account and invite further persons with assigned roles. The user is responsible for granting invited persons access only to the extent they are entitled to. All acts performed by invited persons within the account (editing documents, exports, settings changes, account cancellation) are deemed the user's direct acts and instructions — including instructions for personal data processing within the meaning of the DPA.
4. User rights and obligations
4.1. The user undertakes to:
- use the service in compliance with law and these terms,
- not issue documents with unlawful, deceptive or offensive content,
- not interfere with service security, not attempt unauthorised access to other accounts or data, and not burden the service beyond normal use,
- when using the API and integrations, comply with the terms of the respective third parties (banks, e-shops, registries),
- verify document content in a controlled manner before sending — especially documents created by automation, import or API, which are intended for human review before issue.
4.2. The user is responsible for having the entitlement to the personal data they enter into the service (in particular data of their customers and suppliers) and for having fulfilled information duties towards those persons. Towards that data the operator acts as a processor — see Art. 8 and the separate Data Processing Agreement.
5. Public link and document status tracking
5.1. Each document can have a public link intended for the document recipient. The link allows viewing the document and its status without sign-in.
5.2. The service records events related to the public link (in particular views and payment intent) including the visitor's time and technical metadata, and shows these data to the user. The operator informs the recipient about the recording directly on the public-link page. The user is additionally obliged to inform the document recipient of this fact — typically in their privacy policy or in the message text carrying the link.
5.3. Anyone who obtains the public link can view the document. The user sends the link only to the intended recipient.
5.4. Illegal-content reporting. Towards user-entered content made accessible to third parties, the operator acts as a hosting service provider (§ 5 of Act No. 480/2004 Coll.; Regulation (EU) 2022/2065, "DSA"). Send notices of illegal content (deceptive documents, phishing, copyright or personality-rights infringement) to [email protected]. A notice under Art. 16 DSA must contain: a description of the illegal content and the reasons for illegality, its location (URL / public link), the notifier's name and e-mail, and a statement that the notice is submitted in good faith.
5.5. The operator will confirm receipt of the notice, handle it timely, impartially and objectively, and inform the notifier and the affected user of the decision including its reasoning (Art. 16 and 17 DSA). If the content is found illegal or in breach of the terms, the operator may deactivate the public link, make the attachment or content inaccessible, or restrict the account per Art. 10.2; the user is informed of the measure taken with reasons and the option to appeal at [email protected].
6. Price, subscription and billing
6.1. Prices and plans. The service is provided as paid under the chosen subscription plan per the current price list published at invico.org (the "price list"). Prices are charged in Czech koruna (CZK): Start 149 Kč, Pro 299 Kč and Max 499 Kč per month. The English page also shows approximate euro and dollar figures; checkout uses the koruna price. The operator is not a VAT payer; tax documents state "I am not a VAT payer". If the operator's VAT status changes, users will be informed and VAT at the statutory rate will be added to prices.
6.2. Annual subscription and automatic renewal. The subscription is agreed for a period of 12 months. Payment is cashless by payment card via the Stripe payment intermediary. The subscription renews automatically for further 12-month periods at the price valid at the time of renewal, unless the user cancels it per Art. 6.4. A subscription order is presented to the user before submission as binding to payment. Key subscription terms (price, period length, automatic renewal, cancellation method) are displayed immediately before order submission, not only in these terms.
6.3. Renewal notice and price changes. No later than 30 days before the end of the subscription period the operator sends to the user's registered e-mail a demonstrable notice of the upcoming automatic renewal and its amount. An intended price change for the next period is announced in the same period. If the user disagrees with renewal or the new price, they may cancel automatic renewal free of charge in account settings or by e-mail, ending the contract at the close of the current period.
6.4. Cancelling automatic renewal. Automatic renewal can be switched off free of charge at any time in account settings. The service remains available until the end of the paid period.
6.5. Consumer withdrawal. If the user is a consumer (§ 1810 Civil Code) and the contract was concluded by distance communication, they have the right to withdraw from the contract without giving a reason within 14 days of its conclusion (§ 1829(1) Civil Code), using the form in Annex 1, by e-mail to [email protected], or by another unequivocal statement. If the consumer requested the service to begin before the withdrawal period expired, they pay on withdrawal a proportionate part of the price for services actually provided up to withdrawal (§ 1834 Civil Code). The model form and withdrawal-right information form Annex 1 of these terms.
6.6. Out-of-court consumer dispute resolution. The competent body for out-of-court consumer dispute resolution is the Czech Trade Inspection Authority (ČOI), Gorazdova 1969/24, 120 00 Prague 2, Company ID: 00020869, data box ID: x7cab34 (www.coi.cz, online submission office adr.coi.cz).
6.7. Switching to another provider (Data Act). The user may terminate the contract for the purpose of switching to another data-processing service provider under Art. 25 et seq. of Regulation (EU) 2023/2854. The notice period is 2 months; the operator enables a free export of data in a structured, commonly used and machine-readable format (JSON / CSV / ISDOC). The operator charges no switching fees and no penalties for early termination. Detailed switching conditions are governed by Annex 2 of these terms.
6.8. Tax documents. The operator issues a subscription invoice upon receiving payment and makes it available to the user electronically in the app. The user consents to documents being issued and delivered electronically.
6.9. Third-party services (the user's SMTP server, bank, e-shop, hosting) are paid by the user under those parties' terms.
7. Liability and availability
7.1. The operator expends reasonable effort to keep the service available but does not guarantee uninterrupted operation. Planned downtime will be announced in advance where possible.
7.2. The operator is not liable for damage caused by:
- incorrect, incomplete or unlawful content of the user's documents,
- outage or error of third-party services (SMTP, bank, registries, e-shop, hosting, the recipient's e-mail infrastructure),
- misuse of credentials or API keys the user failed to secure,
- inability to deliver e-mail or documents for reasons on the recipient's side,
- data loss where the user made no backup and the loss was not the operator's fault.
7.3. The operator's liability for damage caused intentionally or by gross negligence is not limited — such a limitation would be void (§ 2898 Civil Code). For direct damage demonstrably caused by the operator, the operator is liable to a business user up to the amount paid by the user for the service in the last 12 months before the event, at minimum EUR 400. Towards a consumer this limitation does not apply to the extent prohibited by § 1813 et seq. Civil Code. The stipulation does not apply to damage which cannot be limited by law (in particular harm to natural human rights).
7.4. Data backup is part of the service operation; nevertheless we recommend the user export their data regularly (CSV/XML exports are part of the service).
8. Personal data
8.1. Personal-data processing is governed by the Privacy Policy (the "GDPR" document) and the Data Processing Agreement (DPA), which form an annex to these terms.
8.2. User-entered content (documents, contacts, records) is made available to the user for export after the account ends and subsequently deleted per the DPA — the duty to archive tax documents after the account ends belongs solely to the user as data controller. The operator's own accounting documents (subscription billing) are retained for the statutory period.
9. Intellectual property
9.1. The service, its source code, design, the "Invico" mark and documentation are the operator's intellectual property. The user is granted a non-exclusive, non-transferable licence to use the service for the life of the account.
9.2. User-entered data remains the user's property. The user grants the operator the entitlement to process data to the extent necessary to provide the service.
10. Termination
10.1. The user may cancel the account at any time in Settings. Cancelling the account ends access to the service; data will be deleted per the Privacy Policy, except data the operator is obliged by law to retain.
10.2. The operator may restrict or cancel the account on breach of the terms, in particular on misuse of the service, after prior notice unless the breach is grave.
10.3. The service contract may also be terminated by the operator with a 60-day notice period, with the option of data export before the account ends.
11. Final provisions
11.1. Legal relationships are governed by the law of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code.
11.2. Disputes will be resolved preferentially by agreement; otherwise the general court at the operator's seat is competent, unless legal rules provide otherwise.
11.3. The operator may change the terms to a reasonable extent, in particular on changes of law, service features or the price list (§ 1752 Civil Code). The user will be informed of a change by e-mail and in the app no later than 30 days before its effect. The user may reject the change and terminate the contract for that reason with a 60-day notice period, during which the service remains under the existing terms; failing that, the new version applies from its effect. For a consumer, a terms change requires their express consent.
11.4. If a provision is void, the rest of the terms remain valid. The terms are issued in version legal-v2.
12. Annexes
- Annex 1 — Model consumer withdrawal form (
withdrawal-form.md), - Annex 2 — Terms for switching to another provider under Regulation (EU) 2023/2854, the "Data Act" (
data-act.md).
The Privacy Policy, the Data Processing Agreement and the Cookie Policy also form part of these terms.
